An offshore company is a UAE-registered legal entity built for international business, holding assets, owning shares in other companies, and invoicing clients outside the UAE. It is a real company with a real registration, designed to operate from the UAE rather than inside it.
If your business is international by nature, you invoice abroad, you hold rather than trade, you want a clean corporate wrapper around assets, offshore does exactly what it is built to do. Get it right the first time and it is a fast, efficient structure. We will tell you in one call whether it fits your plan, and price it precisely.
An offshore company in the UAE is a properly registered corporate entity, with shareholders, directors, a memorandum and articles of association, and share certificates. It is the same legal building block as any other company; what changes is where it is allowed to operate.
It is not automatically tax-free, and treating it as a loophole is how people end up with a structure that a bank will not touch. Think of it as a clean holding and international-trading vehicle, which, set up properly, is exactly what it does well.
Offshore genuinely earns its place for a specific set of jobs:
If your plan is international by nature, you invoice abroad, you hold rather than trade, you want a clean corporate wrapper around assets, offshore does exactly what it is built to do.
Get the structure right from the start and you avoid a costly re-registration later. A UAE offshore company:
If any of those three things matter to you, we will point you at the right structure, free zone or mainland, assessed against your actual plan. Either way, the fit is the first thing we confirm.
If you know you need residency or want to trade locally, we can move fast. Get your structure assessed in one free call and we will tell you exactly what works for your plan and what it costs.
This is the comparison that trips most people up, because the two get pitched interchangeably. They are not the same thing.
The real deciding factor between them usually is not the licence fee. It is banking. Banks apply heavier due diligence to offshore entities than to free zone ones, and that affects both how quickly an account opens and whether it opens at all. That single difference decides more offshore-versus-free-zone choices than anything on the price list. We walk through exactly why in offshore vs free zone: the banking gap nobody tells you about. It is worth reading before you commit either way, and we have opened over 1,000 UAE bank accounts, so we know precisely what each bank's compliance team will ask.
Being offshore does not by itself place you outside UAE corporate tax. That is the myth to kill first.
UAE corporate tax applies at 9% on taxable profit above AED 375,000, for financial years starting on or after 1 June 2023, per the Federal Tax Authority. Whether your specific offshore entity has a taxable position depends on its activity and where it is actually managed from, not on the offshore label.
There are also beneficial ownership registration obligations, and in some cases FTA registration, that apply regardless of whether you ultimately owe anything. The tax position needs to be established for your specific structure, and we handle the registration and filing so it is one less thing to think about. Book a call and we will assess exactly where you stand.
Offshore is built for:
If that is you, offshore does its job well. If you also need a residence visa, staff on the ground, a physical office, or UAE customers, we will set you up with a free zone or mainland company instead, one relationship, either way. Tell us your plan and we will confirm the right structure in one call.
Don't start from the licence fee. Start from three questions:
That third question is where the real decision lives. We assess your plan, tell you the structure that fits, prepare the application to the standard banks expect, and brief you on exactly what the compliance team will ask, because we have done it more than a thousand times. Approval always rests with the bank, but the quality of the file is what makes it straightforward, and that is what we control.
If offshore fits your plan, our offshore company formation service is where to look next. If a free zone or mainland company is the better fit, we will set that up instead.
